Agreement to Terms

Client Responsibilities

As a client, you agree to:

  • Communicate promptly regarding approvals, updates, and requirements
  • Make payments according to agreed terms
  • Use services in a lawful and professional manner

Payment Terms

Clients are invoiced based on agreed service terms. Payment is due within the timeframe specified on the invoice. Late payments may result in suspension or termination of services.

All fees are non-refundable unless otherwise stated in a written agreement or Refund Policy.

Service Limitations

While we strive to provide high-quality services, we do not guarantee:

  • Specific business outcomes or revenue results
  • Continuous or uninterrupted service availability
  • Third-party platform performance (e.g., social media, ads platforms)

Liability and Indemnification

XM Promo LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services.

Clients agree to indemnify and hold harmless XM Promo LLC from any claims, damages, or losses resulting from their use of services or business activities.

Termination

Either party may terminate the service agreement at any time with written notice. Upon termination, clients are responsible for payment of all services completed up to the termination date.

Confidentiality

Both parties agree to maintain the confidentiality of all sensitive information, business data, and communications shared during the service period.

Dispute Resolution

Any disputes shall first be resolved through good faith negotiation. If unresolved, disputes will be handled in accordance with applicable laws of the State of Indiana.

Changes to Terms

We reserve the right to update or modify these Terms and Conditions at any time. Changes will be effective upon posting on our website. Continued use of our services indicates acceptance of updated terms.
